WESTLAW USER AGREEMENT FOR LAW SCHOOL PERSONNEL

 

AGREEMENT to allow WESTLAW access by full-time law school faculty, administration and staff ("Law School Personnel") Part-time Law School Personnel and faculty are not eligible. Available only to Law School Personnel affiliated with law schools that currently subscribe to WESTLAW under Plan 4 Law School Service.

 

1. Representations

User represents that he or she is a full-time Law School Personnel member at the law school listed on the reverse side ("Law School") and that Law School is a current WESTLAW Subscriber. User requests the right to access WESTLAW by means of compatible equipment.

 

2. Access to WESTLAW

West Publishing Corporation ("West") grants User the right to access and use WESTLAW by means of a WESTLAW law school personnel password ("Law School Personnel Password") to be issued to User by West. User may access and use WESTLAW solely for educational purposes and for scholarly research ("Educational Purposes"). Use of the Law School Personnel Password is strictly limited to use within the United States, its territories and possessions. Further, User may transfer and store temporarily insubstantial amounts of Downloaded Data under the provisions of the WESTLAW Subscriber Agreement solely for Educational Purposes. User shall not store or use Downloaded Data in a searchable database. No access to any Gateway is permitted hereunder. Access to certain Features and databases may be restricted by West. WESTLAW access by means of User's Law School's price plan. West reserves the right to collect from User all WESTLAW Charges incurred through use of the Law School Personnel Password for purposes other than Educational Purposes at the then-current commercial WESTLAW rates.

 

3. WESTLAW Software

Upon completion of the information Checklist on the reverse hereof. West will provide User, at no charge, with a copy of the WESTMATE� communications software for WESTLAW access by means of the Law School Personnel Password and a copy of the WESTCheck citation checking software (collectively "Software"). The Software is provided "AS IS" and WSI makes no warranties as to the performance of the Software. COPYING OF THE SOFTWARE IN WHOLE OR IN PART FOR OTHER THAN ARCHIVAL PURPOSES IS STRICTLY PROHIBITED. All copies of the Software must be destroyed upon termination of this Agreement.

 

4. Governing Terms

User's access to and use of WESTLAW are governed by the terms and conditions of the WESTLAW Subscriber Agreement (including all Schedules thereto), between Law School and West. User's use of the Software is governed by the terms and conditions of the WESTLAW Software License Agreement between User and West which will be provided with User's copy(ies) of the Software. Use of WESTLAW by means of the Law School Personnel Password and of the Software signifies User's acceptance of such terms and conditions and User's agreement to be bound thereby. In the event of inconsistencies between this Agreement and the WESTLAW Subscriber Agreement or the WESTLAW Software License Agreement, the terms of this Agreement will control. All terms used herein will have the meanings attributed to them in the WESTLAW Subscriber Agreement or the WESTLAW Software License Agreement.

 

5. Responsibility for Certain Matters

User understands and acknowledges that User's Law School Personnel Password is for his or her use only and that User is expressly prohibited from permitting third parties (including students and part-time law school personnel) to access WESTLAW by means of the Law School Personnel Password, whether or not User has knowledge of or authorizes such access and use. West reserves the night to issue a new Law School Personnel Password to User from time to time and to cancel any prior Law School Personnel Password.

 

6. Reservation of Rights

West reserves the right to modify the terms and conditions of this Agreement from time to time, specifically including, but not limited to, the right to impose usage limitations on WESTLAW access and/or offline transmission.

 

7. Termination

User may terminate this agreement at any time by giving West written notice thereof and ceasing all use of WESTLAW, the Law School Personnel Password, and the Software, West may terminate this Agreement and User's right to access and Use WESTLAW and the Software respectively by giving prior written notice to User. In Addition, this Agreement will terminate automatically (i) upon any termination of Law School's WESTLAW Subscriber Agreement, or (ii) if User is no longer a full-time Law School Personnel member. User agrees to notify West if he or she is no longer a full-time Law School Personnel member.

ESTLAW� USER AGREEMENT FOR PART-TIME LEGAL RESEARCH AND WRITING INSTRUCTORS

 

AGREEMENT to allow WESTLAW access by part-time law school faculty currently teaching legal research and writing at a law school that subscribes to WESTLAW under Plan 4.

User represents that he or she is employed as a legal research and writing instructor at the above-named law school ("Law School") during the semester(s) ("Teaching Semester") indicated above, and that Law School is a current WESTLAW Subscriber. User requests the right to access WESTLAW by means of equipment ("Equipment") identified on the attached Information Checklist.

 

2. Access to WESTLAW. During the term of this Agreement, West Publishing Corporation ("West") grants User the right to access and use WESTLAW by means of a WESTLAW legal research instructor password User may access and use WESTLAW solely for educational and instructional purposes in connection with User's duties as a legal research and writing instructor for Law School. Access to and use of WESTLAW for any other purpose is strictly prohibited. Further, User may transfer and store temporarily insubstantial amounts of Downloaded Data solely for such educational and instructional purposes. No access to Gateways is permitted hereunder. Access to certain Features may be restricted by West. WESTLAW Charges incurred through use of the Legal Research Instructor Password for educational purposes are waived during the term of this Agreement. West reserves the right to collect from User all WESTLAW Charges incurred through use of the Legal Research Instructor Password for non-educational purposes at the then-current commercial WESTLAW rates.

 

3. Legal Research Instructor Password. The Legal Research Instructor Password shall be operative during the time periods set forth below that correspond to User's Teaching Semester(s):

 

Teaching Semester Dates

 	 Fall                August 15 through December  31
  	Spring              January 1 through May 31
  	Summer              June 1 through August 14

 

The Legal Research Instructor Password will be suspended during any semester which is not a Teaching Semester. User agrees to notify West and WSI of any change in User's Teaching Semesters.

 

4. WESTLAW Software. Upon request, West will provide User, at no charge, with a copy of the WESTMATE communications software for WESTLAW access by means of the Legal Research Instructor Password, and with a copy of the WESTCheckth, cite checking software (collectively "Software"). The Software is provided "AS IS" and West makes no warranties as to the performance of the Software. Notwithstanding anything contained in the WESTLAW Software License Agreement, COPYING OF THE SOFTWARE IN WHOLE OR IN PART FOR OTHER THAN ARCHIVAL PURPOSES IS STRICTLY PROHIBITED. All copies of the Software must be destroyed upon termination of this Agreement. To request copies of the Software, complete the attached Information Checklist.

 

5. Use of WESTLAW and Software. User's access to and use of WESTLAW are governed by the terms and conditions of the WESTLAW Subscriber Agreement (including all Schedules thereto) between Law School and West. User's use of the Software is governed by the terms and conditions of the WESTLAW Software License Agreement between User and West which will be provided with User's copies of the Software. Use of WESTLAW by means of the Legal Research Instructor Password and of the Software signifies User's acceptance of the applicable terms and conditions and User's agreement to be bound thereby. In the event of inconsistencies between this Agreement and the Subscriber Agreement or the WESTLAW Software License Agreement, the terms of this Agreement will control. All terms used herein will have the meanings attributed to them in the Subscriber Agreement or the WESTLAW Software License Agreement.

 

6. Responsibility for Certain Matters. User understands and acknowledges that User's Legal Research Instructor Password is for his or her use only in connection with User's duties as a legal research and writing instructor, and that User is expressly prohibited from permitting any third parties to access WESTLAW by means of the Legal Research Instructor Password. User shall be responsible for all access to and use of WESTLAW by means of the Legal Research Instructor password, whether or not User has knowledge of or authorizes such access and use. West reserves the right to issue a new Legal Research Instructor Password to User from time to time and to cancel any prior Legal Research Instructor Password.

 

7. Reservation of Rights. West reserves the right to modify the terms and conditions of this Agreement from time to time, specifically including, but not limited to, the right to impose usage limitations on WESTLAW access and/or off-line transmission.

 

8. Term and Termination. This Agreement shall remain in effect so long as User is employed by Law School as a legal research and writing instructor. Notwithstanding the foregoing, (i) User may terminate this Agreement at any time by giving West written notice thereof and ceasing all use of WESTLAW, the Legal Research Instructor Password and the Software, and (ii) West may terminate this Agreement and User's right to access and use WESTLAW and the Software respectively at any time by revoking the Legal Research Instructor Password. Further, this Agreement will terminate automatically upon any termination of the WESTLAW Subscriber Agreement between Law School and West. User agrees to notify West immediately if he or she is no longer employed by Law School as a legal research and writing instructor. Upon any termination of this Agreement, User's Legal Research Instructor Password will be revoked automatically.

WESTLAW� USER AGREEMENT FOR LAW SCHOOL STUDENTS

 

AGREEMENT to allow WESTLAW access by law school students. Available only to currently-enrolled students of law schools that subscribe to WESTLAW under a Plan 4 Law School price plan.

 

1. Representations.

 

The undersigned law student ("User" represents that he or she is currently enrolled as a student at the law school ("Law School") identified below and that he or she expects to graduate from Law School on the date indicated on the Information Checklist. User agrees to notify West Publishing Corporation ("West") immediately if User is no longer enrolled as a student at Law School or if his or her expected graduation date changes.

 

2. Access to and Use of WESTLAW.

 

West grants User the right to access and use WESTLAW through equipment provided by User or Law School by means of the WESTLAW law student password ("Law Student Password") attached hereto. User may access and use WESTLAW solely for educational purposes directly related to User's coursework at Law School ("Educational Purposes"). Any other use, including any use in connection with User's employment, any internship or externship, is prohibited. Use of the Law Student Password is limited to use within the United states, its territories and possessions. User may transfer and store temporarily insubstantial amounts of Downloaded Data under the WESTLAW Subscriber Agreement solely for Educational Purposes. No access to Gateways is permitted. Access to certain Features and databases may be restricted by West. WESTLAW Charges incurred through use of the Law Student Password for Educational Purposes are waived during the term of this Agreement. West reserves the right to collect from User all WESTLAW Charges incurred through use of the Law Student Password for purposes other than Educational Purposes at the Then-current commercial WESTLAW rates. User's Law Student Password will be in effect during the school year and will be suspended Each summer unless attendance at Law School classes is mandatory on a year- round basis.

 

3. WESTLAW Software.

 

Upon request, West will provide User, at no charge, with a copy of the WESTMATE� communications software and a copy of the WESTCheck� cite-checking software (collectively "Software). The Software is provided "AS IS," and West makes no warranties as to the performance of the Software. COPYING OF THE SOFTWARE IN WHOLE OR IN PART FOR OTHER THAN ARCHIVAL PURPOSES IS STRICTLY PROHIBITED. All copies of the Software must be destroyed upon termination of this Agreement.

7. West's Legal DirectoryTH - Law Students.

 

User grants West permission to include in West's Legal Directory of Law Students - User's name, law school and address and any additional information supplied on the Information Checklist. All information supplied by User will be published in West's Legal Directory. West will have no liability whatsoever to User for any claim(s) relating to any error or omission in any listing. User's exclusive remedy for any error or omission in any listing shall be correction of the listing within a reasonable time after receipt by West of written notice such error or omission. In no event shall West be liable for any lost profits or for any consequential, exemplary, incidental, indirect or special damages arising from or in any way related to this agreement, even if West has been advised of the possibility of such damages.

 

8. Term and Termination.

 

This agreement will be effective upon User's first access to WESTLAW by means of the Law Student Password and will terminate on the User's graduation ceremony date. However, (i) User may terminate this Agreement at any time by giving West written notice thereof and ceasing all use of WESTLAW, the Law student Password and the Software, and (ii) West may terminate this Agreement and User's right to access and use WESTLAW and the Software respectively at any time by revoking the Law Student Password. Further, this Agreement will terminate automatically upon any termination of the Law School's WESTLAW Subscriber Agreement or if User is no longer enrolled as a student at the Law School.

Upon any termination of this Agreement, User's Law Student Password will automatically be revoked.
